TERMS & CONDITIONS OF SERVICE

1. Definitions
"Business" means Hannah Smith trading as Hannah's Tutoring. "Client" means the parent or legal guardian entering into this agreement. "Student" means the individual receiving tutoring services. "Services" means online academic tutoring services delivered by the Business. "Session" means a scheduled tutoring session of agreed duration, which may exceed 60 minutes. "PAYG" means pay-as-you-go tutoring sessions invoiced after delivery. "Monthly Plan" means a recurring subscription package of 4 or 8 sessions per month paid in advance. "Programme" means any fixed-term intensive, group course, workshop or similar offering delivered by the Business.
2. Formation of Contract
A legally binding contract is formed when:
the Client accepts these Terms; and
payment is received (where applicable) or Services commence.
By purchasing or booking Services, the Client confirms acceptance of these Terms.
3. Nature of Services & Tutors
The Business provides tutoring services delivered by independent self-employed subcontractors.
Tutors:
are not employees of the Business;
provide Services as independent contractors;
use their own equipment;
determine their own availability.
Nothing in these Terms creates an employment, partnership or agency relationship between the Business and any tutor.
The Business remains responsible for coordination and quality oversight of Services.
4. Cooling-Off Rights
4.1 Where the Client is a consumer and the contract is entered into online or at a distance, the Client has the right to cancel within fourteen (14) days of entering into the contract, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
4.2 If the Client wishes Services to begin during this 14-day period, the Client must expressly request this. By requesting that Services begin within the 14-day period, the Client acknowledges that:
they will be liable to pay, on a proportionate basis, for any Services already delivered if they then cancel within the period; and
they will lose the right to cancel once the Services have been fully performed.
4.3 Where no such request is made, Services will not begin until the 14-day period has ended.
5. Fees & Payment
Payment structure differs depending on the service purchased.
5.1 PAYG Sessions
PAYG Sessions are invoiced after delivery.
Where a payment card is held on file, payment may be collected automatically within 48 hours of invoice.
Invoices must be paid within 7 days unless otherwise agreed.
If payment remains outstanding after 14 days, future Sessions may be paused.
The Business reserves the right to recover reasonable administrative and dispute fees arising from chargebacks or payment disputes.
5.2 Monthly Plans (4 or 8 Sessions)
Monthly Plans are paid in advance and operate on a rolling monthly subscription basis. They:
renew automatically each month from the original purchase date;
continue until cancelled by the Client;
may be cancelled at any time, taking effect from the next billing date, provided cancellation is received at least three (3) calendar days before that billing date.
The Client may cancel by any clear means, including by email to hannah@hannahstutoring.co.uk or by any cancellation method made available by the Business. The Business will acknowledge cancellation in writing.
The Business will provide reasonable advance notice before each renewal where required to do so.
Cancellation stops future billing only. No refund is provided for unused Sessions within the current billing cycle, except where required by law.
If payment fails, a 14-day grace period applies. If the plan remains unpaid after 14 days, Sessions will be paused. The Business may amend pricing with reasonable notice.
6. Session Cancellation & Rescheduling
At least 24 hours' notice is required to cancel or reschedule a Session.
Sessions cancelled with less than 24 hours' notice will be charged in full.
Tutor cancellations will be rescheduled. Refunds are discretionary.
Both the Student and the tutor are expected to attend at the scheduled time. Sessions conclude at the scheduled end time regardless of late arrival by the Student.
7. Conditional Performance Commitment
This applies only to Students enrolled on the 8-Session Monthly Plan.
Eligibility requires:
full attendance at all scheduled Sessions;
completion of assigned independent work;
provision of baseline mock or recent examination evidence within 5 days;
completion of Business-set assessments.
"Improvement" means measurable progress determined using the Business's internal academic assessment methods.
Improvement does not mean:
school predicted grades;
teacher-determined grades;
examination board outcomes;
university admissions decisions.
Determination of improvement is made at the reasonable professional discretion of the Business.
Where eligibility criteria are met but improvement is not demonstrated, the sole remedy is up to two additional Sessions. No monetary refund will be provided.
This commitment does not apply to Programmes unless expressly stated.
8. Special Educational Needs
The Client must disclose relevant medical, psychological or educational needs.
Failure to disclose may invalidate any performance commitment. Nothing in this clause affects the Business's duty to make reasonable adjustments under the Equality Act 2010 in respect of needs that have been disclosed.
9. Safeguarding & Communication
All communication relating to tutoring must occur within approved channels.
Private communication between Student and tutor outside approved channels is not permitted.
Cameras must remain on unless otherwise agreed.
All tutors engaged by the Business are subject to DBS checks and safeguarding requirements in line with the Business's Safeguarding & Child Protection Policy, which is available on request. Submission of compliance documents is verified by the Business before a tutor is matched with a Student.
The Business may suspend Services pending investigation of safeguarding concerns.
10. Tutor Changes
The Business will use reasonable endeavours to provide continuity of tutor but does not guarantee availability of a specific tutor.
11. Conduct & Termination
The Business may terminate Services immediately without refund where behaviour is abusive, inappropriate, unsafe or breaches safeguarding expectations.
12. Non-Circumvention
12.1 The Client agrees that they will not, during the provision of Services and for a period of six (6) months following the last Session, engage, employ or contract directly (or arrange for any third party to engage, employ or contract) any tutor introduced to them by the Business, for the provision of tutoring or related educational services, otherwise than through the Business.
12.2 The Client acknowledges that the Business invests significant time and cost in sourcing, vetting, safeguarding-checking, training and coordinating its tutors, and that a direct engagement of a tutor outside the Business deprives the Business of the value of that investment and of the margin it would otherwise earn.
12.3 The parties agree that a genuine and reasonable pre-estimate of the loss the Business would suffer from a breach of clause 12.1 is a sum equal to six (6) months of the Student's average monthly fees (calculated over the three months preceding the breach, or over the actual period of Services if shorter). The Client agrees to pay this sum to the Business as liquidated damages on breach.
12.4 If clause 12.3 is for any reason found to be unenforceable, the Client shall instead be liable to the Business for the actual losses arising from the breach, including lost revenue and the reasonable costs of sourcing and vetting a replacement tutor.
13. Intellectual Property
All teaching materials, assessments and resources remain the intellectual property of the Business.
Materials may not be copied, redistributed, shared or resold without written consent.
14. Technical Issues
Minor technical issues on the Client side do not entitle the Client to a refund.
Where a Session cannot proceed due to tutor-side technical failure, a replacement Session will be arranged.
15. Limitation of Liability
Total aggregate liability shall not exceed the fees paid in the 3 months preceding the claim.
The Business shall not be liable for indirect or consequential loss, academic performance, examination results or admissions decisions.
Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited.
16. Amendments
The Business may amend these Terms with reasonable notice. Continued use of Services constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of England and Wales.
Schedule 1 – PAYG & Monthly Plans
This Schedule forms part of Version 5.4.

Schedule 2 – Easter GCSE Intensive
This Schedule applies specifically to the Easter GCSE Intensive Programme.
1. Booking & Payment A place is secured upon full payment. Programme purchases are one-off payments and do not constitute a Monthly Plan. Places are limited and allocated on a first come, first served basis.
2. Cancellation Consumer Regulations apply. If the Programme begins within 14 days of booking, the Client must expressly request this, and by doing so acknowledges they will lose the right to cancel once the Programme has been fully delivered and will be liable for any part already delivered. Once the Programme has commenced, no refund will be provided except where required by law.
3. Structure Delivered live online across four consecutive days. Higher and Foundation streams capped at 12 students per stream. Sessions are not recorded. Reasonable adjustments to tutors, scheduling or content may be made.
4. 1 to 1 & Independent Work Boost and Bespoke tiers include additional 1 to 1 sessions as described at purchase. Failure to attend scheduled 1 to 1 sessions without notice may result in forfeiture. Marking is limited to the scope described in the relevant tier.
5. Participation Students must participate actively with a functioning microphone. Cameras must remain on unless agreed. Persistent disruption may result in removal without refund.
6. Technical Requirements Stable internet and a suitable device are required. The Business is not responsible for individual technical disruption.
7. No Guarantee No guarantee of academic outcomes applies to the Programme. Clause 7 of the main Terms does not apply.
